These Terms and Conditions (“Agreement”) govern your use of the Felden web-based platform (“Service”) operated by Sspale LLC (“Company”, “we”, “us”, or “our”), a company registered in California, United States. By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, you may not use the Service. ______________ 1. Nature of the Service Felden is a web-based platform that provides users with access to precision agriculture mapping data for the state of Louisiana, United States. The Service includes access to four (4) agricultural maps derived from satellite imagery. These maps are updated periodically based on data availability. The Service is intended solely for informational purposes and does not constitute professional agricultural advice. ______________ 2. Data Sources and Limitations The maps provided through the Service are derivative products based on satellite imagery obtained from the European Space Agency (ESA). Satellite data is inherently limited and subject to factors beyond our control, including but not limited to: • Cloud cover • Atmospheric interference • Satellite positioning and revisit cycles The average satellite revisit time is approximately five (5) days. However, update intervals may be longer depending on environmental conditions. We do not guarantee: • Accuracy, completeness, or reliability of the data • Availability of updated imagery within any specific timeframe • Suitability for any specific agricultural, financial, or operational decision All data is provided on an “as-is” and “as-available” basis. ______________ 3. Subscription and Billing Access to the Service requires a paid subscription. • Subscription fee: USD 10.90 per month • Billing is recurring on a monthly basis • Subscription renews automatically unless canceled Payments are processed securely through Stripe. By subscribing, you agree to Stripe’s applicable terms and authorize us to charge your selected payment method on a recurring basis. You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle, and no further charges will be applied. All payments are non-refundable unless required by applicable law. We reserve the right to change subscription pricing with reasonable prior notice. ______________ 4. Accounts and User Responsibilities You are responsible for: • Maintaining the confidentiality of your account credentials • All activities under your account • Providing accurate and current information We reserve the right to suspend or terminate accounts that violate this Agreement. ______________ 5. Permitted Use You agree not to: • Use the Service for unlawful purposes • Reverse engineer, copy, or redistribute the data or maps • Resell or commercially exploit the Service without authorization • Interfere with the operation or security of the platform ______________ 6. Intellectual Property All content, including maps, algorithms, and platform design, is owned by Sspale LLC or its licensors. Satellite imagery remains the property of its respective providers, including the European Space Agency. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or internal business use only. ______________ 7. Service Availability We do not guarantee uninterrupted access to the Service. The Service may be unavailable due to: • Maintenance • Technical failures • Third-party disruptions (including satellite data providers) ______________ 8. Disclaimer of Warranties To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. We expressly disclaim all warranties, including but not limited to: • Merchantability • Fitness for a particular purpose • Non-infringement • Accuracy or reliability of data You acknowledge that use of the Service is entirely at your own risk. ______________ 9. Limitation of Liability To the maximum extent permitted by law, Sspale LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to: • Loss of profits • Crop loss or reduced yield • Business interruption • Loss of data In no event shall our total liability exceed the total amount paid by you to us in the twelve (12) months preceding the claim. ______________ 10. Indemnification You agree to indemnify, defend, and hold harmless Sspale LLC and its affiliates from and against any claims, damages, liabilities, losses, and expenses arising out of: • Your use or misuse of the Service • Your violation of this Agreement • Your violation of any laws or third-party rights ______________ 11. Geographic Scope The Service is designed specifically for agricultural areas within the state of Louisiana, United States. We do not guarantee that the Service is appropriate or accurate for use outside this region. ______________ 12. Force Majeure We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: • Natural disasters • Weather conditions affecting satellite imaging • Satellite or data provider failures • Internet or infrastructure outages ______________ 13. Privacy Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. ______________ 14. Dispute Resolution and Arbitration Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration in the State of California, rather than in court. You agree to waive: • The right to a jury trial • The right to participate in a class action lawsuit ______________ 15. Termination We may suspend or terminate your access if: • You violate this Agreement • Your use poses a risk to the Service or others You may terminate your subscription at any time as described in Section 3. ______________ 16. Changes to These Terms We reserve the right to modify these Terms at any time. We will provide notice of material changes. Continued use of the Service constitutes acceptance of the updated Terms. ______________ 17. Governing Law This Agreement shall be governed by the laws of the State of California, United States, without regard to conflict of law principles. ______________ 18.
